Plaintiff-Appellant Local 194 C & T of the United Transportation Union (“Local 194”) brought this action challenging the lawfulness of an agreement entered into by the Consolidated Rail Corporation (“Conrail”) and the United Transportation Union (“UTU”). The agreement allocated among various employee groups, including Local 194, work that had been consolidated under the authority of the Regional Rail Reorganization Act of 1973, 45 U.S.C. §§ 701-794 (1976) (the “Act”).
