This cause is before us upon an appeal from an order of the circuit court overruling a demurrer to the complaint herein. The demurrer confesses, that:'Defendant and one C. were the owners and holders of a majority of the capital stock, and were the active managers and in the sole charge and control of the business, property, and plant of a corporation engaged in publishing a daily paper, in carrying on a job printing plant, and in fact in carrying on a 'general publishing and printing plant in Watertown, Codington county.
