This is an appeal from a declaratory judgment determining the liability of a County Improvement District for engineering services.

The Board of Supervisors of Coconino County, Arizona, acting in its dual capacity as the Board of Supervisors and as the Board of Directors of the Oakwood Improvement District brought a Declaratory Judgment action in Coconino County Superior Court against defendant-appellant, Henningson, Durham & Richardson, a Nebraska corporation.
