MEMORANDUM OPINION

ERWIN, Chief Judge.

Introduction

This matter is before the court upon defendants’ motion for summary judgment pursuant to Rule 56(c) of the Federal Rules of Civil Procedure. The plaintiffs brought suit, pursuant to 45 U.S.C.A. § 152 et seq. (West 1986), alleging a breach of the duty of fair representation by the International Association of Machinist and Aerospace Workers (hereafter IAM) which occurred during the merger negotiations between USAIR, Piedmont Aviation, and IAM.
