MEMORANDUM OPINION AND ORDER
HAIGHT, Senior District Judge:
I. INTRODUCTION
Plaintiff has brought this age discrimination action for unlawful termination of his employment. Two of the four named defendants have moved to dismiss the first two counts in Plaintiffs complaint pursuant to Fed.R.Civ.P. 12(b)(1) and 12(b)(6). The relevant facts, as set forth in the pleadings, appear below.
