OPINION
HURWITZ, Vice Chief Justice.
¶ 1 The issue for decision is whether the defendants “participated in” an allegedly unlawful sale of securities. The courts below held that the defendants did not participate in the sale. We agree.

¶2 In 1999, Koninklijke KPN N.V. and Qwest Communications International, Inc. (“Qwest”) formed a joint venture, KPNQwest (“KPNQ”). Joseph P. Nacchio was Qwest’s CEO and chairman of KPNQ’s supervisory board. John A. MeMaster, Qwest’s former executive vice president, was KPNQ’s CEO.
