OPINION
BROTMAN,- District Judge.
This action is brought by purchasers of securities against various defendants alleging that the financial statements of Data Access Systems, Inc., and its registration statement and prospectus contained material misrepresentations and omissions in violation of Section 10(b) of the Securities Exchange Act of 1934, Rule 10b-5 of the Securities and Exchange Commission (“SEC”), Section 11 of the Securities Act of 1933, Section 1962 of the Racketeer Influenced and Corrupt Organizations Act (“RICO”), and applicable state and common law.
