I.SUMMARY

In this removed case, plaintiff Paul Na-hass, a shareholder and former director and officer of FlexLite Corporation (“Flex-Lite”), has sued defendants James Harrison, Gregory Quarles, Mitchell Cogert, and Lawrence Siegel, a group-of other Flex-Lite shareholders, for terminating Nahass as an officer and director of FlexLite. Na-hass alleges that his termination violated FlexLite’s coiporate bylaws (the “Bylaws”) and defendants’ fiduciary duties to Nahass as a minority shareholder in a close corporation.
