MEMORANDUM AND ORDER

GLASSER, District Judge:

In this diversity case Rockwood Computer Corporation (“Rockwood”) sues a former President of the Company, Gerald Morris, alleging breach of fiduciary duty. The amended complaint, filed on October 6, 1981, describes a scheme in which Morris conspired with two other executives, Jerry Yandell and Arthur Miller, to personally retain commissions and finders’ fees derived from the sale of equipment owned by Rock-wood.
