THIS MATTER comes before the Court on Williams Four Corners, LLC’s and *1247Williams Energy Resources LLC’s Motion to Dismiss Plaintiffs’ Third Claim for Relief, filed October 30, 2012 (Doc. 18)(“MTD”). The Court held a hearing on May 1, 2013.
