¶ 1 This case arises out of certain agreements between the defendant-appellees City of Orem, Utah (the “City”); the Woodbury Corporation (“Woodbury”), which owns the University Mall in Orem; and Zions Cooperative Mercantile Institution (“Z.C.M.I”), referred to collectively as “the Orem City defendants.” Under the agreements, the City agrees to provide certain financial incentives to Woodbury and Z.C.M.I. to remain in the University Mall and refurbish its store and to Woodbury to expand the University Mall and bring in a new major tenant.
