In April, 1910, the ITenricksen Jewelry Co., a corporation, bought ■of plaintiffs a four-fifths interest in the retail jewelry business carried •on by them, as partners, in Superior, Wisconsin. As part of the •consideration the corporation was to pay, according to plaintiffs’ confention, the existing debts of the partnership and the remainder of ithe purchase price was to be paid in cash or merchandise.
