DECISION AND ORDER

On August 30, 1996, Plaintiff Sterling Vision DKM, Inc., a Delaware corporation with its principal place of business in East Meadow, New York, commenced this action against June Gordon, the owner and operator of a Kindy Optical franchise in Sturgeon Bay, Wisconsin. 1 In 1993, Gordon had entered into a franchise agreement with Counterclaim Defendant, D & K Optical, Inc.
