MEMORANDUM AND ORDER

SMITH, District Judge.

This matter comes before the Court1 on third party defendant Mahoning National Bank’s Motion to Dismiss, filed June 28, 1988. For the reasons stated hereinafter, we deny the Motion.

Plaintiff, Associates Commercial Corporation (Associates), filed a complaint against defendant/third party plaintiff Lincoln General Insurance Company (Lincoln), alleging that Lincoln failed to pay a collision damage claim due under a liability insurance policy written by Lincoln, on which Associates was the loss payee.
