MEMORANDUM OPINION AND ORDER
TUNHEIM, District Judge.
This matter is before the Court on defendant Geac Computers Inc.’s (“Geac”) motion for declaratory judgment and for dismissal of the claims of Taylor Investment Corporation (“Taylor”) for lack of subject matter jurisdiction. Also before the Court is Geac’s motion to dismiss the cross-claims of Dennis L. Weil (“Weil”) and Construction Management and Consulting, Inc. (“CMAC”) pursuant to Fed. R.Civ.P. 12(b)(3).
