MEMORANDUM OPINION & ORDER
CALDWELL, District Judge.
This matter is before the Court on the Motions for Summary Judgment of the Defendant, Sterling Testing Systems, Inc. (“Sterling”) (Rec. No. 41) and of the Third Party Defendant, USIS Record Search, Inc. (“USIS”)(Rec. No. 42). 1 For the following reasons, the Court will GRANT the motions in part and DENY the motions in part.
