Plaintiff Milner Hotels, Inc., in 1941 owned and operated 153 or more hotels. Defendant John Ehrman owned a hotel in Kalamazoo, Michigan, known as the Rickman Hotel, a modern, fireproof, eight-story building containing 75 rooms. Defendant listed it for sale with a realtor whose brother-in-law, an attorney, drafted a preliminary contract dated April 8, 1941, contemplating the execution of a final contract for the sale of the hotel property and contents.
