MEMORANDUM OPINION

NOEL, District Judge.

Plaintiff bank has sued defendant, a California corporation, for damages for alleged breach of contract and fraud in connection with an alleged agreement by defendant to purchase a certain promissory note from plaintiff for $600,000. Defendant contests this Court’s jurisdiction over it and has raised numerous other defenses. Diversity jurisdiction exists, the requisite amount being in controversy. 28 U.S.C. § 1332.
