OPINION

SIMANDLE, District Judge:

Currently before the court is defendant’s motion, pursuant to Fed.R.Civ.P. 12(b)(6), to dismiss the first count of. plaintiffs’ complaint. For the following reasons, the motion will be granted.

I. FACTUAL AND PROCEDURAL BACKGROUND

On or about August, 1971, plaintiffs, Drs. Howard and Vera Easling, purchased the Pennypoint Park Apartments (“Penny-point”). Plaintiff’s Complaint at ¶ 2.
