INTRODUCTION

The Debtors herein seek application of § 548 of the Bankruptcy Code, relating to fraudulent transfers, to a transaction that included both the termination of their lease with the Defendant, the Philadelphia Fresh Food Terminal Corporation (hereinafter referred to as “the Defendant”), and the Defendant’s effective elimination of the value of the Debtors’ stock in the Defendant-corporation.
