A. INTRODUCTION

The present adversary proceeding represents the efforts of the Debtors’ Trustee in these jointly-administered Chapter 11 bankruptcy cases to set aside payments made under a Termination [of employment] Agreement, also contemplating redemption of the Debtors’ stock, between the Debtors and the Defendant, their former President.
