GIBBONS, Circuit Judge.

The appellants, Safeguard Mutual Insurance Co. (Safeguard) and C. M. Clark Insurance Agency, Inc. (Clark) are both Pennsylvania corporations. They appeal from an order of the district court, 333 F.Supp. 822, dismissing their complaints pursuant to Rule 12(b)(6), Fed.R.Civ. P., for failure to state a claim upon which relief can be granted.
