MEMORANDUM & ORDER
BATTS, District Judge.
Plaintiff is a licensed real estate broker in New York State. (Comp. ¶2.) Defendant ITT-Sheraton is a subsidiary of ITT Corp. (ITT’s Mem.Law. at 1.) Defendant Michael D. Cryan is the executive vice-president and Chief Financial Officer of ITT-Sheraton. (Compl. ¶ 6.) Plaintiff claims that Cryan, on behalf of ITT-Sheraton, Corp. and ITT Corp., (collectively the “Defendants”) breached an agreement to pay brokerage fees to the Plaintiff.
