MEMORANDUM OPINION AND ORDER

This matter is before the court on Defendants’ motion to dismiss (Doc. No. 36). For the reasons stated below, this Court grants the motion in part and denies it in part.

I. FACTUAL AND PROCEDURAL BACKGROUND
