MEMORANDUM OPINION AND ORDER

Plaintiff Peter Van Noppen,-individually and on behalf of all others who purchased *927InnerWorkings, Inc. (“InnerWorkings”) common stock between February 15, 2012 and November 6, 2013, brings this action for securities fraud against InnerWorkings and two of its- executives, CEO- Eric Bel-cher and CFO Joseph Busky. Plaintiff alleges violation of Sections 10(b) and 20(a) of the Securities Exchange Act of 1934,15 U.S.C. §§ 783(b) and 78t(a), and SEC Rule 10b-5,17 C.F.R. § 240.10b-5.
