Appeal from judgment of the General Term of the Supreme Court in the second judicial department, entered upon an order made May 12, 1890, which affirmed a judgment in favor of defendants entered upon a decision of the court on trial at Special Term. The nature of the action and the facts, so far as material, are stated in the oninion.

This action was brought by a trustee of the Smith Moquette Loom Company, pursuant to sections 1781, 1782 of the Code of Civil Procedure (which authorize actions against the officers of corporations, but not against corporations), to set aside alienations of property made or authorized by the individual defendants, to themselves, who were at the time a majority of the trustees of the corporation, and also to compel them to account for all sums and property received under such alienations.
