The American Oil and Refining Company1 was incorporated on February 5, 1916, under the laws of Oklahoma. The American Oil and Refining Company2 was incorporated under the laws of Nevada, on May 11, 1934. At a stockholders meeting of the Oklahoma Corporation held on June 19, 1934, a resolution was adopted by a majority of its stockholders authorizing the transfer of all its assets to the Nevada Corporation in exchange for stock' of the latter corporation, share for share.
