BIRCH, Circuit Judge:

In this contract dispute, we address the difference between an acceptance and a counteroffer under Georgia law. The district court granted summary judgment to the City of Atlanta (“the City”), holding that the City never accepted the contract terms offered by Information Systems and Networks Corporation (“ISN”). According to the district court, the document which ISN construed as an acceptance was actually a counteroffer.
