MURRAY M. SCHWARTZ, District Judge.

Plaintiff Melvyn I. Weiss, acting as custodian for his son, Gary M. Weiss (jointly referred to as “Weiss”), is a shareholder of the Temporary Investment Fund, Inc. (the “Fund”). 1 The Fund is a no-load, open end, diversified investment company whose objective is to maximize current income consistent with preservation of capital, and is commonly known as a “money market fund.” Provident Institutional Management Corporation (the “Adviser”), a wholly owned subsidiary of Provident National Bank (“Provident”), serves as the Fund’s investment adviser.…
