HOLLAND, Justice:
The plaintiff-appellant, VLIW Technology, LLC (“VLIW”), filed an action for breach of contract, misuse of trade secrets, and unfair trade practices against the defendants Hewlett-Packard Company (“HP”) and STMicroeleetronics, Inc. (“STM”). The complaint asserts that H-P breached its contract with VLIW by sharing confidential information with STM. H-P filed a motion to dismiss the complaint pursuant to Court of Chancery Rule 12(b)(6). STM joined that motion. The Court of Chancery granted both of the defendants’ motions.
