Defendants Grove Street Ventures, Inc. (“GSV”) (formerly Cybershop.com, Inc.), Jeffrey Tauber, Jeffrey Leist, and Ian Phillips are before the Court on their motion to dismiss the Plaintiffs consolidated amended class action complaint (“amended complaint”) under Rule 12(b)(6) of the Federal Rules of Civil Procedure. Defendants allege that Plaintiff has failed to plead sufficient facts to prove its alleged violations of sections 10(b) and 20(a) of the Securities Exchange Act of 1934 (the “Exchange Act”).
