MEMORANDUM OPINION

GRADY, District Judge.

Plaintiff, United Pacific Insurance Co. (“United”), brings this diversity action against the Illinois Capital Development Board (“CDB”) and Arrow General Contractors, Inc. (“Arrow”), seeking a declaratory judgment as to the parties’ rights and obligations under two construction performance bonds.
