Monroe and Beth Leisure appeal from an adverse declaratory judgment entered against them in an action between former directors of M/V La Conte, Inc. We affirm.

On May 23, 1987, the Leisures and Johnnie Dontos entered into an agreement concerning their interests in and duties as to a vessel, the La Conte, and their roles in a proposed corporation, M/V La Conte, Inc. The agreement was memorialized in a "Letter of Understanding Between Johnnie Dontos & Monroe Leisure,” signed by Dontos and Monroe.
