OPINION AND ORDER
STEELE, District Judge.
This matter comes before the Court on Plaintiffs’ Motion to Dismiss Counts I, II, IV and V of Defendants’ Counterclaim and Motion to Strike (Doc. # 32), filed on July 6, 2004. Defendants filed a Memorandum of Law in Opposition (Doc. # 35) on July 27, 2004. With the Court’s permission, plaintiffs filed a Reply (Doc. # 38) on August 26, 2004. For the reasons set forth below, the Court will dismiss the entire Counterclaim, but allow an amended counterclaim as to some of the claims.
