This is an appeal by plaintiffs from the judgment of the Franklin County Court of Common Pleas sustaining defendants’ motion to dismiss.
On December 10,1991, a complaint was filed by plaintiffs, the Grand Council of Ohio, the Order of United Commercial Travelers of America (“UCT”) and Grand Counselors Association, along with twenty-seven individual members of UCT. The complaint averred that UCT is a fraternal benefit society, formed pursuant to R.C. Chapter 1702 as a nonprofit corporation.
