MEMORANDUM OPINION AND ORDER
JANE J. BOYLE, District Judge.
Before the Court are the Motions to Dismiss filed by Defendants on January 22, 2013 (docs. 73, 75, 76). For the reasons stated below, the Motions are GRANTED IN PART and DENIED IN *662PART. The Consolidated Complaint’s § 12(a)(2) claim is DISMISSED WITHOUT PREJUDICE as to Kosmos Energy Ltd.
