MEMORANDUM OPINION AND ORDER
NORDBERG, District Judge.
STATEMENT OF FACTS
Defendants are shareholders of Guilford Telecasters, Inc. (“Guilford”), and guarantors of a $4.2 million loan made to Guilford by plaintiff, Continental Bank.
