HUXMAN, Circuit Judge.

This was an action by Occidental Life Insurance Company, hereinafter called the company, against Marmaduke Corbyn Agency and its members, hereinafter called Corbyn, for a declaration of rights under a settlement contract terminating a preexisting insurance agency contract between the parties. The trial court decided the issues against the company, and this appeal followed.
