INTRODUCTION

Plaintiffs FS Photo, Inc., (“FS Photo”), its Chairman Larry G. Settle (“L.Settle”) and President David G. Settle (“D.Settle”) brought suit against PietureVision, Inc. (“PictureVision”), and its directors claiming that the defendants violated section 10(b) of the Securities Exchange Act of 1934 (“Exchange Act”) when they committed fraud in connection with the purchase and sale of securities.
