I. INTRODUCTION
Plaintiff Snowstorm Acquisition Corporation (“Snowstorm”) filed this action against defendants Tecumseh Products Company (“Tecumseh Products”), AlixPartners, LLP (“AlixPartners”), AP Services, LLC (“APS”), and James Bonsall (“Bonsall”) 1 on November 13, 2009, alleging: (i) breach of contract; (ii) violation of § 10(b) (“ § 10(b)”) of the Securities Exchange Act of 1934 (“the Act”), 15 U.S.C. § 78j(b), and Rule 10b-5 promulgated thereunder, 17 C.F.R. § 240.10b-5; (iii) violation of § 20(a) of the Act, 15 U.S.C. § 78t(a); (iv)…
