MEMORANDUM OPINION AND ORDER

Plaintiffs filed their complaint in this matter on July 2, 1979, alleging defendants’ violations of § 10(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78j(b), and of Rule 10(b)(5) of the Rules of the United States Securities and Exchange Commission, 17 CFR ¶ 240.10b-5, in the execution and implementation of a Stock Purchase and Option Agreement and subsequent transactions.
