COLEMAN, J.
Richard E. Welsh entered a conditional guilty plea to one felony count for selling unregistered securities with intent to defraud the purchaser in violation of Code § 13.1-520(A), one misdemeanor count for transacting business as an unregistered agent in violation of Code § 13.1-520(B), and two misdemeanor counts for unlawfully selling securities in violation of Code § 13.1-520(B).
