Von Schlemmer v. Keystone Life Ins.
Supreme Court of Louisiana
Appeal from Civil District Court, Parish of Orleans; John St. Paul, Judge. Suit by Bernard Von Schlemmer against the Keystone Life Insurance Company for the appointment of a receiver. Judgment for defendant, and plaintiff appeals.
1Opinion of the CourtProvosty, J.
This is a suit for the appointment of a receiver, and plaintiff brings it in his quality of a stockholder. We think he is estopped in the premises, he having acquired his stock with full knowledge of the facts upon which he bases his suit. Courts are extremely reluctant to interfere with the affairs of a corporation at the suit of a minority of the stockholders, and will not do so at the suit of a stockholder who acquired his stock with full knowledge of the conditions of which he complains.
