Plaintiffs Trinity Bui and Trinity Financing Investments Corporation (“Plaintiffs”) brought this action alleging violations of § 10(b) of the Securities Exchange Act of 1934 (“§ 10(b)”), 15 U.S.C. § 78a et seq. (the “Exchange Act”) and Securities and Exchange Commission (“SEC”) Rule 10b-5 promulgated thereunder (“Rule 10b — 5”), 17 C.F.R. § 240.10b-5; § 20(a) of the Exchange Act (“§ 20(a)”); and common law fraud.
