CUMMINGS, Circuit Judge.

The principal issue presented by this appeal is whether the amended complaint adequately states claims against the First National Bank of Lincolnwood, Illinois (the “Bank”), under Section 10(b), of the Securities Exchange Act of 1934 (15 U.S.C. § 78j(b)) and Rule 10b-5 of the Securities and Exchange Commission (17 C.F.R. 240.10b-5). The district court dismissed this pleading with respect to the Bank for failure to state a claim upon which relief could be granted, while denying dismissal as to the individual defendants.
