QUASI-CONTRACT – UNJUST ENRICHMENT – PRESENCE OF AN EXPRESS CONTRACT Generally, a quasi-contractual claim cannot arise when an express contract exists between the parties concerning the same subject matter on which the quasi-contractual claim rests. Potential exceptions to this prevailing rule include when there is evidence of fraud or bad faith in the formation of the contract or when the express contract does not fully address the subject matter of the quasi-contractual claim.
