MEMORANDUM OPINION AND ORDER

KRAM, District Judge.

Plaintiff Gilbert, Segall and Young (“GSY”) instituted this action for a declaratory judgment pursuant to 28 U.S.C. §§ 2201 and 2202 for the purpose of determining its liability under a lease of commercial office space if it vacates the premises prior to the expiration of the term of the lease and makes no future rental payments to defendant Bank of Montreal (the “Bank”). The Bank moves to dismiss GSY’s complaint, pursuant to Federal Rules of Civil Procedure 12(b)(1) and 12(c), on the ground that this Court lacks subject matter jurisdiction.…
