RICHARDS, Justice.

We grant Roadside Stations, Inc.’s motion for rehearing from our opinion of December 15,1994. We withdraw our prior opinion and judgment and substitute this opinion and judgment in its place. Roadside Stations, Inc. (Roadside) appeals from a summary judgment granted in favor of 7HBF, Ltd. (7HBF) and Nu-Way Distributing Co. (Nu-Way) on appellees’ cross-action for debt.
