MEMORANDUM OPINION AND ORDER

RUFE, District Judge.

This case comes before the Court on Defendants’ Motion to Dismiss. For the reasons set forth below, Defendants’ Motion is granted in part and denied in part.

I. FACTUAL BACKGROUND

The following facts are taken from the Amended Complaint and accepted as true for the Court’s consideration of Defendants’ Motion.
