I. Facts

Plaintiff was hired by defendant Burns International Security Services, Inc. (“Burns”) on May 3, 1976, as corporate comptroller. He was later promoted to Executive Vice-President and Chief Financial Officer. He left the company in July 1982. In 1981, Bums became a target for acquisition by defendant Borg-Warner Corporation (“Borg-Warner”).
